B. Corporation Filings for Your New Rhode Island Corporation
1. Federal S-Corporation Election Form

Rhode Island corporations and LLCs must pay a state business corporation tax, which is due on the 15
th day of the third month following the close of the entity’s fiscal year (usually March 15
th). The minimum fee is $250. The Rhode Island Division of Taxation will send the application forms to you prior to the due date. If you have questions, call 401-222-1120 or log on to
www.tax.state.ri.us.
4. Annual Reports
Corporations must file an annual report each calendar year between January 1 and March 1, beginning in the year following the year of incorporation. The fee is $50. The form will be mailed to the Registered Agent prior to its due date.
